Ref : The Disclosure of Information to the Stock Exchange of Thailand No. COR:MS/EL09033e/ms dated 15 October 2009 regarding Shares Acquisition and Warrants Acquisition in Unique Mining Services Plc.
Thoresen Thai Agencies Public Company Limited ("TTA" or the "Company") hereby reports that, as on the date of this letter, TTA's 99.99% owned subsidiary, Hermelin Shipping Co., Ltd. ("Hermelin") was renamed to Athene Holdings Ltd. ("Athene").
Athene acquired shares and warrants of Unique Mining Services Public Company Limited ("UMS") from its two major shareholders, namely Mr. Phaibul Chalermsaphayakorn and Mr. Chaiwat Cruecha-em in the amount of 52,858,520 shares and 20,790,646 shares respectively at Baht 23 per share. This represents 48.46% of UMS's issued shares. Athene also acquired 3,222,100 units of UMS warrants, equivalent to 5.55% of the total UMS remaining warrants from Mr. Chaiwat Cruecha-em at Baht 14.6579 per unit.
Athene will submit the Statement of Firm Intention to Make a Tender Offer (Form 247-3) for the securities of UMS to the Office of the Securities and Exchange Commission on 27 October 2009. Athene expects to submit the official tender offer on 5 November 2009 to UMS remaining shareholders and warrant holders to purchase the remaining UMS shares and warrants.
